Zusammenfassung
Der Wechsel des Vorstandsvorsitzenden an die Spitze des Aufsichtsrats ist eine in den größten deutschen Aktiengesellschaften weit verbreitete Praxis. Diese Vorsitzkontinuität wird aktuell in den Medien und quer durch alle politischen Lager scharf kritisiert, da sie den Aufsichtsrat in der Ausübung seiner Überwachungs- und Kontrollfunktion potenziell beeinträchtigt. Vor dem Hintergrund agency- und stewardshiptheoretischer Überlegungen überprüfen wir den Zusammenhang zwischen der Vorsitzkontinuität und erfolgsbedingten erzwungenen Führungswechseln. Auf der Basis einer Stichprobe von 214 Führungswechseln bei großen deutschen Aktiengesellschaften (DAX 100) können wir zeigen, dass Vorstandsvorsitzende im Falle einer kritischen Erfolgslage und gegebener Vorsitzkontinuität eher entlassen werden. Allerdings gelingt es den Nachfolgern auch bei gegebener Vorsitzkontinuität nicht, die Erfolgslage des Unternehmens in den ersten zwei Jahren nach einer Entlassung signifikant zu verbessern. Unsere Ergebnisse zeigen, dass (1) die Corporate-Governance-Forschung durch eine integrative Betrachtung der Agency- und der Stewardship-Theorie bereichert werden kann und (2) eine pauschale Kritik beziehungsweise Ablehnung der Vorsitzkontinuität zu kurz greift.
Summary
In large German corporations, a particular type of „executive continuity“ is widespread: Retiring CEOs frequently assume the role of their corporations’ Chairman of the Board. This continuity of executive power has been heavily criticized by the media and by politicians from all parties, because it may curtail the board’s ability to exercise its control functions. We develop hypotheses from agency theory and stewardship theory and explore the relationship between „executive continuity“ and the dismissal of poorly performing CEOs. Based on a sample of 214 German executive succession events, we show that poorly performing CEOs are more likely to be dismissed under conditions of „executive continuity.“ However, „executive continuity“ does not influence the ability of successors to improve firm performance during a two-year post-dismissal period. Our results suggest that (1) research on corporate governance can benefit from integrating agency and stewardship theoretical perspectives, and (2) a general criticism and rejection of „executive continuity“ is premature.
