Zusammenfassung
Deutschland und die Vereinigten Staaten haben im Hinblick auf die Rechtslage zu Gemeinnützigkeit, wohltätigen Spenden und Stiftungen sehr viel gemeinsam.1 In einem Bereich des Gemeinnützigkeitrechts jedoch unterscheiden sich die Praktiken in den beiden Ländern grundlegend, nämlich im Hinblick auf den Besitz und die Kontrolle von Wirtschaftsunternehmen durch gemeinnützige Stiftungen. Die politischen und gesellschaftlichen Rahmenbedingungen in Deutschland fördern - oder erleichtern zumindest -die Errichtung von Stiftungen als ein legitimes Mittel, um Kontinuität sowohl bei den Eigentumsverhältnissen als auch bei der Leitung von kommerziellen Unternehmen zu sichern.2 Nach deutschem Recht kann eine Stiftung bis zu 100 Prozent der stimmberechtigten oder nicht stimmberechtigten Aktien eines Unternehmens besitzen. In den Vereinigten Staaten erlaubt das Steuergesetz seit 1969 einer privaten Stiftung nur den Besitz einer kleinen Beteiligung an einem Unternehmen, zu dem sie nicht in Beziehung steht; das Gesetz verlangt außerdem, dass jegliche „excess business holdings” also über eine gesetzliche Obergrenze hinausgehende Unternehmensbeteiligungen, innerhalb einer vorgeschriebenen Zeit abgestoßen werden müssen.3 Die Verschiedenartigkeit dieser beiden Regelungsansätze desselben Sachverhalts ist so auffällig, dass man sich fragen muss, wie diese Ansätze zustande kamen und welche Wirkungen sie auf die Errichtung von Stiftungen und das Wachstum des Stiftungssektors haben. Die Frage stellt sich ferner mit Blick auf die Leistungsfähigkeit einer Stiftung, die Eigentümerin eines Unternehmens ist, wie auch die Leistungsfähigkeit des Unternehmens, das sich im Besitz einer Stiftung befindet.
