Zusammenfassung
Unternehmen streben stetig nach Wachstum. Die zunehmenden wirtschaftlichen Aktivitäten werden aber auch von negativen Effekten begleitet. Die Emissionsbelastung nimmt zu und Ressourcen werden stärker verbraucht. Noch immer sind Korruption und Ungleichbehandlung innerhalb der Weltwirtschaft bedeutende Faktoren.
Es stellt sich die Frage, inwieweit die bisherige Unternehmensorganisation durch wesentliche Nachhaltigkeitsrisiken verändert wird und welche Institutionen auf nationaler, europäischer und internationaler Ebene durch Gesetze, Standards, Leitlinien o. ä. den Transformationsprozess beeinflussen bzw. gestalten. Dazu werden im Rahmen der Unternehmensorganisation die Bereiche Unternehmenspolitik und Vorstandsverantwortung, Geschäftsorganisation, Risikomanagement und Berichterstattung betrachtet. Um ein grundlegendes Verständnis für die Thematik zu schaffen, werden im Folgenden die Begriffe Nachhaltigkeit und Klimawandel definiert.

Der Ausdruck Netto Null bedeutet, dass alle menschenverursachten Emissionen ausgeglichen werden. Die Klimabilanz der Erde wäre in diesem Fall netto, also nach einer Reduktion, gleich Null. Man spricht in diesem Zusammenhang auch von Klimaneutralität (vgl. IPCC 2018).

Das Gesetz Ontario Bill 21 besagt, dass Unternehmen, die fossilen Brennstoff herstellen, für klimabedingte Schäden in Ontario haftbar sind, wenn der Produzent für Treibhausgasemissionen auf global nachweisbarem Niveau verantwortlich ist (vgl. Legislative Assembly of Ontario 2018).

Gestrandete Vermögenswerte bezeichnen Vermögenswerte, die nicht fähig sind, ihre Investition zu refinanzieren und den Investoren daher einen Verlust einbringen. Sie entstehen durch eine Klimapolitik, die den Übergang zu einer kohlenstoffarmen Wirtschaft zum Ziel hat, und sind als Folge dessen unvermeidbar (vgl. Baron und Fischer 2015, S. 3).

Die Anwendung aktienrechtlicher Vorschriften für den VVaG ergibt sich über § 188 VAG.
